Simply Belfast - Payment Terms for Online Magazines

In order to keep our costs down and our advertising to you competitive we ask advertisers to work with us, especially when it come to payment. The following terms govern this relationship:
A Advertisements are accepted on the basis that they will be paid for in full at the rates set out on the Simply Belfast website
B Advertisers agree to settle their account not later than the 'Account Payable' date on their invoice
C Where a discount has been offered this is subject to payment being received by the Discount Payment Date on your invoice
D Advertisers accept a key component without exemption of all discounts is that payment is received before Discount Payment Date
E Advertisers accept a discount price becomes void and the full published price becomes chargable if payment is not received by Discount Payment Date or
F The advertiser beaches any other term governing discounts. In such circumstances payment is required on the Account Payable date
G Payment should be made payable to 'Simply Belfast'. Cheques should be sent to the Simply Belfast postal address on the invoice
H New Customers to Simply Belfast may be asked at time of booking, to forward immediate payment for their ads
I The Advertiser agrees that all pricing and payment information shall be the confidential information of Simply Belfast and agree to keep it so
J Simply Belfast's inability or failure to comply with any condition shall not relieve the Advertiser of the obligation to pay for the advertising
G All accounts not paid by the Account Payable date, shown on the invoice will be deemed as late and in the absence of written agreement to the contrary will attract:
(i) An immediate demand for payment of the full amount
(ii) Interest payment of 8% on top of Bank of England base rate, on the amount outstanding from the Account Payable date, currently equating to 8.5%
(iii) An additional £40 recovery charge
(iv) Any and all additional costs in advancing civil recovery, including full legal, court and debt recovery agency costs

Pricing & Service Options
'Simply Belfast' provides a full list of its official fees & charges. It is the responsibility of any person wishing to advertise, to recheck the listed prices before placing their order, as 'Simply Belfast' conducts quarterly reviews of its pricing structure. Advertisers will be charged the listed price as quoted, at the time their order is placed, unless they are in possession of a valid quote or are availing of a special or discount offer. Such offers and quotes are subject to additional terms, conditions and disclaimers, which the advertiser should read carefully under the Discounted Terms.
All advertisers who have been offered a quote or negotiated a discount rate / quote should be aware that such a quote or offer, expires within 7 days of the quote or offer being extended, without exception. All discounts and offers are subject to payment being prompt and not later that the Discount Payment Date.
The advertiser agrees to compensate and indemnify Simply Belfast where they disclose any pricing, discount and/or payment information without written permission from Simply Belfast, with whom full ownership remains, for commercial reasons. Simply Belfast reserve the right (in addition to any legal remedies) to disclose and/or publish details of an advertiser's booking including payment details, in certain circumstances (as deemed appropriate by Simply Belfast) such as but not limited to non-payment, late payments, inappropriate conduct by an advertiser, criminal acts, defamatory comments, misrepresentation of facts and/or where required to do so by another agency with or without a court order.
Refund Policy
Refunds to 'Simply Belfast' Advertisers are made at the sole discretion of 'Simply Belfast'
Advertising Set-up & Charges
Where 'Simply Belfast' has received payment in the form of a set-up fee, all copyright and ownership remains with the Advertiser for the material provided and for material that has been directly derived from the material provided. However, this material is only provided to the advertiser in the form of the publication. It is the sole responsibility of the advertiser to obtain a copy of the material in the publication.
Where 'Simply Belfast' lends its creative input to enhance the advertisement for the client, all creative material excluding those outlined above remain the sole ownership and copyright of 'Simply Belfast', this caveat includes slogan creation. An advertiser is at liberty to decline in advance any creative input from 'Simply Belfast' or to contract 'Simply Belfast' for such a purpose, but where such material is disclosed to the advertiser it is done so on this basis of the advertisers compliance with this stipulation and is subject to copyright and privilege. All intellectual property rights belong to 'Simply Belfast', and all rights, including copyright are reserved. The advertiser may seek the purchase of such rights, in writing but will be liable for compensation, damages and costs in using such material without prior written consent either during or after the business relationship has ceased. The advertiser agrees not to use any work currently used on 'Simply Belfast', or created by 'Simply Belfast' on any other media or for any other media campaign, during the period of their contract with 'Simply Belfast' and further agree not to use any material which is the creative work of 'Simply Belfast' and subject to copyright.
Cancellation & Termination
Termination - 'Simply Belfast' reserves that right to terminate advertising services to any client where we are unable to meet the specifications required in terms of space, size, technical expertise or are unable to deliver what the Advertiser seeks or requires.
'Simply Belfast' reserves the right to withdraw, cancel or terminate this service without notice to advertisers and disclaim liability for matters such as, but not limited to loss perceived or otherwise, inconvenience or damages. Reasons for terminating this service without notice may include (i) commercial viability (ii) complaints (iii) legal threat or legal action. In such circumstances monies paid to 'Simply Belfast' for advertising which will not now by run, will be refunded in accordance with the 'Simply Belfast' Terms, with no other recourse available to the advertiser and no other monies, such as compensation owed. At no point does Simply Belfast become liable for decisions made independently of Simply Belfast leading to circumstances where other costs where incurred by the advertiser, such as but not limited to costs incurred in designing ads.
The advertiser accepts the return of any monies paid as an end to all matters / claims and accepts them as resolved and accepts such payment as full and final payment.
Suspension of Service
'Simply Belfast' reserves the right to withdraw services from an advertising client, where any of the following circumstances apply: (i) Where an advertisement can nolonger legally be shown due to a ruling by the Advertising Standards Authority (ASA) (ii) Where it is uncovered that the advertisement breaches the 'Advertising Standards' outlined above (iii) Where a company makes claims, or claims on behalf of a product which cannot be proved or remains questionable (iv) Where the company breaches any term or condition to which their contract is subject (v) Where payment is not received by the account payable date (vi) Where the behaviour of the advertiser breaches 'a trust' or where their behaviour or business operation becomes subject to an investigation by agencies such as the police, local council, trading standards, OFT, Health & Safety etc. (vii) Where the advertiser is no longer able to provide the service they wish to advertise (viii) Where one of the advertiser's former/current clients make substantiated claims which they are pursuing through legal action (ix) Where the advertiser has failed or previously failed to pay (x) Where the advertiser is using a trade name, slogan or content which is inappropriate for a family audience as determined by Simply Belfast (xi) Where the integrity of 'Simply Belfast' would be compromised should the advertisement continue to run. In such circumstances the advertiser remains liable for all costs, monies owed, bookings, additional fees and any and all liability in accordance with these Terms. Where payment has been made and the ad is not run, monies received will be retained for the service booked but not cancelled in accordance with these Terms. In the example circumstances outlined above, payment is not deemed as full and final settlement, final remedies are determined on an individual basis, taking into account the nature of the matter, any independent representations and the full Terms.
